Terms and Conditions

  • Dealer Qualifications: Gill defines a dealer as a recognized business stocking products in full size ranges for resale, presenting an offer that is current online and in store, and an annual purchase volume that is meeting company growth targets. A complete dealer/credit application and opening order is required prior to acceptance as a qualified dealer. New Accounts will be shipped on COD basis, or prepaid until the dealer's credit has been approved and found to be acceptable to Gill. A dealer who is not in good standing with Gill North America due to credit or non-compliance to specific posted guidelines will be subject to suspension or cancelation of all dealer privileges.
  • Terms of Payments: We do not accept credit card payment for booking orders. We reserve the right to charge a 4% surcharge for wholesale payment by credit card, where permitted by law. Based on the credit information obtained by Gill, approved dealer terms will be Net 30. If the credit information obtained by Gill is not acceptable then the dealer's terms will be either COD, Credit Card or prepaid until the dealer's credit is established and found to be acceptable by Gill NA. Any accounts 60 days or greater past due will be subject to being placed on hold status and must be brought current before new orders are released. ACH and wire transfers are the preferred method of payment. Discounts: All discounts will be calculated based on the date of payment of invoice, not the date the order was placed. Booking invoices must be paid within terms to receive the booking program discounts. Late Charges: Gill reserves the right to charge a 1.5% interest late fee for balances over 30 days past due.
  • Invoice billing errors: Error inquires must be received within 30 days of the invoice date. Dealers remain obligated to pay the portions of your bill not in dispute.
  • Orders: Dealers are expected to place orders online through the Cin 7 B2B portal. The portal is available 24/7 for your convenience. Dealers can check stock levels as well as place and track orders through this very convenient service. 
  • Back Orders: Standard policy is to ship any back orders as soon as possible. If the dealer does not require backorders, this must be so stated on each order. If we are not able to complete the order within 90 days, we will strive to inform you by phone. Back ordered items would be shipped at the original order pricing.
  • Prices: All prices are subject to change without prior notice, excluding items on back order. Gill reserves the right to change product specifications without prior notice. Gill will extend a booking dealer price to booking dealers and a regular/trade dealer price to non-booking/regular dealers.
  • Drop Shipments: Drop Ship is by prior written agreement only and reserved only for retailers taking part in a relevant annual booking program. Gill reserves the right to add an additional charge for drop shipments for all accounts depending on dealer purchase program. All drop ships are to be insured by the dealer. The dealer is responsible to settle a customer claim. Gill reserves the right to remove drop ship privileges at any time.
  • Claims: Damages or non-delivery due to shipping should be reported to the carrier immediately. The dealer must notify Gill within 48 hours of the claim. In all cases, the dealer must keep the damaged merchandise and the packaging in the event it is necessary to support the claim.
  • Short Shipments: Shortages in shipments must be reported to Gill within 10 business days from the date of invoice. The dealer remains obligated to pay for merchandise not in dispute. Gill’s shipping facility will repackage the total order and base its decision by comparing its weight to the weight of the original order. If Gill determines that there was a short shipment, then a credit will be issued to the original invoice for items in question. If Gill determines that the items in question were delivered, which is based on the weight of the total order, then the dealer must pay for the items in dispute.
  • Refused Shipments: Shipments refused and returned without prior approval will be charged freight both ways plus a 15% restocking fee.
  • Return/ Exchange Policy: Merchandise is subject to the following conditions below. Note that a 15% restocking fee may be added to returns based on the original product value and condition.

1) Prior authorization is REQUIRED and be obtained from Gill prior to any return.

2) The return authorization number must appear on the outside of the package with the packing ticket.

3) Only current Gill products are considered for return. Return of discontinued products is not allowed.

4) Original invoice copies must accompany returned merchandise.

5) Merchandise must be in the original bag and in new condition, with unaltered swing tickets.

  • The Gill Guarantee: Please refer to the Gill guarantee at www.gillmarine.com/us under technical assistant. Gill guarantees all its products against defects in material and workmanship. Should one of your customers have a problem with a Gill product, please contact Gill’s support team and obtain an RA number to return the products to Gill. If after inspection, we find the product is defective, except through what is regarded as fair wear and tear from the natural life of the product, the company will repair or replace it, at our discretion. A dealer is not authorized to make the decision regarding warranty. The company does not accept claims for consequential losses. This guarantee does not affect a purchaser's statutory rights.   • Reservation of Title: The goods supplied by Gill North America to the buyer shall remain the property of Gill North America until the buyer has paid for them in full, where permitted by law.
  • Quotes: Any quote is subject to acceptance within 30 days from the date of the quote. Quotations can only be regarded as firm when they are put in writing; verbal estimates are made purely for indicative purposes.
  • Employee Discount: All regular dealer employees qualify for retail less dealer discount on our entire product line. Products purchased must be for the employee's use. Products bought through this program are not to be resold. Orders must be paid at time of shipment. SDP/Booking dealer employees enjoy event better discounts off regular dealer price.
  • Unilateral Policy Regarding Minimum Advertised Pricing Policy: To protect the investment of our Gill dealers and the Gill brand reputation, we have unilaterally adopted a minimum advertised price policy (“MAP Policy”) This MAP policy has been established due to dealer advertising and sales practices that promote Gill products primarily on the basis of price which could be detrimental to dealers and Gill’s brand image and position.

Gill has established a minimum “day in and day out” advertised price on current products line wide in the US. The minimum advertised US $ price is the Manufactures Suggested Retail Price (MSRP). A dealer is not permitted to advertise current model year Gill products for less than MSRP or have a graphic or text description implying a discount less than MSRP. This policy applies without limitation to e-mail blasts, flyers, posters, coupons, mailers, inserts, newspapers, magazines, websites, television, forum posts, blogs, catalogs, advertising media, private offers and any other electronic linking including shopping carts, bounce back pricing emails, and pre-formatted e-mail responses.

Exceptions to Gill’s MAP policy are short duration sales events. These events must be dated. Examples are an onsite participating retail Gill partner at a boat show and scholastic dealer bulk purchase and affiliations programs.

From time-to-time, Gill NA will permit dealers to promote and advertise line wide discounts on current model year products for a total of 10 days per season, with no more than two promotional periods (not more than 10 days duration total) per season. Gill recognizes two selling seasons per year: Fall and Spring.

Dealers can offer incentives such as a free gift with purchase, free freight, or state “ the lowest prices ” or “will match or beat a competitor price “ so long as the dealer does not include any advertised price below MAP.

We will strive to maintain a list of MAP products that fall under the MAP policy. We reserve the right to update this at any time. When MAP prices change annually, the dealer will make every attempt to update within three business days.

Gill NA will make every attempt to notify dealers when products transition to clearance / DSQ status and are no longer under MAP policy. All clearance /DSQ cadence product must be clearly marked as clearance.

This policy only concerns the advertised prices and does not relate to the actual sales price of an item. This advertised price policy only applies to dealers located in the United States of America. Violations of this agreement may result in any or all the following unilateral action: removal from the dealer locator, can affect dealership standing with Gill, loss of discount, cancellation of orders, and legal actions pursuant to U.S. trademark law at our discretion.

Gill sales representatives are not permitted to discuss this policy or make any agreements or assurances with respect to Gill’s MAP advertising policy.

  • 3rd-Party platform retailer criteria: All authorized listings of Gill products on 3rd Party websites by official Gill Marine dealers must meet the following requirements:
  • Dealers must have committed to seasonal bookings with Gill North America of no less than $100,000 net per Annum.
  • Dealers must have a branded landing page following Gill retail guidelines within their own ecommerce platform.
  • Dealers must have a dedicated bricks and mortar retail store with a dedicated retail space to sell from.
  • Dealers must utilize Gill produced UPC/EANcodes
  • Dealer must inventory a minimum of 7 units of each SKU style sold and if sized, a minimum 1 per size across S-XXL sizing.
  • Dealers must have initial inventory in stock and available to sell on the 3rd-Party platform, according to Gill’s product launch schedule, by season.
  • Dealers will provide Gill a quarterly report of all Gill SKU’s sold on 3rd-Party platforms.
  • Dealer must comply with all Gill branding guidelines.
  • The Gill MAP Policy applies to all 3rd-Party transactions.
  • Active account status must be maintained within the Gill credit department.
  • Dealers will opt out of all 3rd-Party retailer programs that violate the Gill MAP Policy Terms and Conditions.
  • Dealers must request in writing and have written approval from Gill at least 30 days before they can sell Gill products on 3rd-Party retailer platforms.

Gill reserves the right to stop shipments to any dealer in violation of the requirements above. Gill reserves the right to reject the dealers request and/or ability to sell Gill products on 3rd-Party retail platforms at any time. Gill reserves the right to amend the list of 3rd-Party retailers at any time, giving notice in writing to the dealer. Recognized 3rd-Party retailers include Amazon, Ebay, Tmal, Alibaba, Walmart, and Decathlon.
